These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "you") and Ayasya Digital, a unit of Ayasya ("{{brand.company}}", "we", "us", "our"), governing your access to and use of the {{brand.name}} platform, including all associated software, features, APIs, and content.
By registering for an account, clicking "Accept", or otherwise accessing or using {{brand.name}}, you confirm that you have read, understood, and agree to these Terms. If you are accepting on behalf of an organisation, you represent that you have the authority to bind that organisation.
If you do not agree to these Terms, do not access or use the platform.
2. Eligibility

- Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the platform
- Scrape, crawl, or systematically extract data from the platform without express written permission
- Introduce malware, viruses, trojans, or any other harmful code
- Conduct or facilitate phishing, spam, or fraud through the platform
- Impersonate any person or entity or misrepresent your affiliation
- Attempt to gain unauthorised access to any part of the platform or its infrastructure
- Use the platform to build a directly competing product or service
- Exceed API rate limits or circumvent usage controls
- Store, transmit, or process content that is illegal, harmful, defamatory, or infringes third-party rights
- Resell, sublicense, or commercially exploit the platform without a written reseller agreement
We reserve the right to investigate and take appropriate legal action against anyone who violates this section, including suspension, termination, and referral to law-enforcement authorities.
6. Intellectual Property Rights
6.1 Our Intellectual Property
The {{brand.name}} platform, including its software, design, trademarks, logos, text, graphics, and documentation, is owned by or licensed to {{brand.company}} and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any ownership rights in the platform.

6.3 Feedback
If you submit ideas, suggestions, or feedback about the platform, you grant us a perpetual, worldwide, royalty-free licence to use that feedback without any obligation to you.
7. User-Generated Content
You retain full ownership of all content you create, upload, or store within {{brand.name}} ("User Content"). By using the platform, you grant us a limited licence to host, store, and process your User Content solely to provide the service.
You represent and warrant that:
- You own or have the necessary rights to your User Content
- Your User Content does not violate any third-party rights or applicable law
- Your User Content does not contain personal data of third parties without appropriate consent
We do not monitor User Content as a matter of routine but may remove content that violates these Terms or is reported to us.
8. Payments, Billing, Cancellations & Refunds
8.1 Fees
Fees for paid plans are as stated on the Pricing page at the time of subscription. All prices are exclusive of applicable taxes unless stated otherwise.
8.2 Billing Cycle
Subscriptions are billed monthly or annually in advance. Annual plans are charged in full at the start of the billing period and attract a discount as shown on the Pricing page.
8.3 Cancellation
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; access continues until then.
8.4 Refunds
- Annual plans: A full refund is available within 30 days of purchase. After 30 days, no refund is issued.
- Monthly plans: Not refundable mid-cycle.
- Enterprise contracts: Refund terms are governed by the signed Master Services Agreement (MSA).
8.5 Price Changes
We reserve the right to change our pricing. We will provide at least 30 days' notice of any price increase to existing subscribers, allowing you to cancel before the new price takes effect.
8.6 Non-Payment
Failure to pay fees when due may result in suspension of access. We will notify you before suspension and provide a reasonable cure period.
9. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall {{brand.company}}, its directors, employees, partners, agents, or licensors be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, goodwill, or business opportunities
- Damages resulting from your reliance on the platform's AI-generated outputs
- Service interruptions, downtime, or data loss beyond our reasonable control
Our total aggregate liability to you for any claim arising from these Terms or your use of the platform shall not exceed the total fees paid by you in the 12 months preceding the event giving rise to the claim, or INR 10,000 (whichever is greater).
Some jurisdictions do not permit the exclusion or limitation of incidental or consequential damages; the above limitations may not apply to you in full.
10. Disclaimer of Warranties
{{brand.name}} is provided "as is" and "as available" without any warranty, express or implied. We do not warrant that:
- The platform will be uninterrupted, error-free, or free of harmful components
- The results or outputs (including AI-generated content) will be accurate, complete, or suitable for any particular purpose
- Any defects will be corrected within a particular timeframe
AI-generated content is provided for assistance only and should be reviewed before use in any formal, legal, financial, or safety-critical context.
11. Suspension & Termination
11.1 By You
You may stop using {{brand.name}} and close your account at any time. Paid subscriptions continue until the end of the current billing period.
11.2 By Us — With Notice
We may terminate or suspend your account with 30 days' written notice for convenience, including where we discontinue the service.
11.3 By Us — Immediate
We may immediately suspend or terminate your account without notice if you:
- Breach any provision of these Terms
- Engage in fraudulent, abusive, or illegal activity
- Fail to pay fees after a reasonable cure period
- Cause harm to the platform, other users, or third parties
11.4 Effect of Termination
Upon termination, your access ceases immediately. We will provide you with an opportunity to export your data for 30 days following termination, after which it will be deleted per our retention policy.
12. Indemnification
You agree to indemnify, defend, and hold harmless {{brand.company}} and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:
- Your breach of these Terms
- Your User Content or your use of the platform
- Your violation of any applicable law or third-party right
- Your negligence or wilful misconduct
13. Third-Party Services & Integrations

These services are not operated by us and are subject to their own terms, privacy policies, and security practices. We are not responsible for the availability, accuracy, or conduct of any third-party service.

14. Force Majeure
Neither party shall be liable for any failure or delay in performance resulting from causes beyond their reasonable control, including but not limited to acts of God, natural disasters, war, civil unrest, government actions, power failures, internet outages, or third-party service failures.
The affected party shall notify the other as soon as reasonably practicable and shall resume performance as soon as the cause is removed.
15. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws principles.
Any dispute, claim, or legal proceeding arising out of or relating to these Terms or your use of {{brand.name}} shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India.
If you are a consumer located in the European Union, mandatory consumer protection laws of your country of residence may also apply, and nothing in these Terms limits your statutory rights.
16. Dispute Resolution

If informal resolution fails, the parties agree to attempt resolution through a mutually agreed mediator before resorting to litigation. The costs of mediation shall be shared equally unless otherwise agreed.

We reserve the right to update these Terms at any time. For material changes, we will:
